## Importance of Notes

### Calculation Method

**Step 1**: Find Data
- Locate "Minority Interest" amount in notes
- Find parent company's "Ownership Percentage"

**Step 2**: Calculate Minority Ownership

Minority Ownership % = 100% - Parent Ownership %
```

**Step 3**: Calculate Net Assets
```
Subsidiary Net Assets = Minority Interest ÷ Minority Ownership %
```

### Example
**Moutai Import & Export Company:**
- Minority Interest: 27.4581 million RMB
- Parent Ownership: 70%
- Minority Ownership: 30%
- Calculation: 27.4581 ÷ 30% = 91.527 million RMB

**Moutai Sales Company:**
- Minority Interest: 995.4576 million RMB
- Parent Ownership: 95%
- Minority Ownership: 5%
- Calculation: 995.4576 ÷ 5% = 19,909.152 million RMB

## Related Party Transaction Risk Assessment

### Related Party Scope
- Parent company
- Parent's controlled/joint/associated enterprises

- Major shareholders and management
- Companies controlled by close family members of above

### Risk Identification Checklist

**1. Transaction Fairness**
- Are transaction conditions and prices significantly different from market norms?
- Is there a reasonable business justification?

**2. Fund Occupation**
- Does the company have large accounts receivable from related parties?
- Are there high prepayments to related parties?

**3. Guarantee Risks**
- Are there risky related party guarantees?
- What is the potential exposure?

**4. Necessity Assessment**
- Are these transactions necessary for business operations?
- Could the same be achieved with unrelated parties?
